If you want to become a director of a company in India, the first thing you need is a DIN. Without it, you cannot be appointed to a board, sign director-level filings, or be named as a director in the incorporation papers of a new company.

Director Identification Number (DIN) explained: an 8-digit ID for company directors in India
DIN is a unique 8-digit number that identifies you as a director for life.

Quick Answer: What Is DIN?

DIN stands for Director Identification Number. It is a unique 8-digit number allotted by the Ministry of Corporate Affairs (MCA) to every individual who is, or wants to become, a director of a company in India. Once allotted, it stays with you for life, even if you resign or move between companies.

The same DIN is also used by designated partners of a Limited Liability Partnership (LLP), where it was earlier called DPIN.

Legal Basis of DIN

DIN is governed by Sections 153 to 159 of the Companies Act, 2013 and the Companies (Appointment and Qualification of Directors) Rules, 2014. Under Section 152(3), no person can be appointed as a director unless they have been allotted a DIN.

Why Is DIN Important?

  • Mandatory for directors: No DIN, no directorship, and no designated partner role in an LLP.
  • One identity across companies: Whether you sit on one board or ten, all your directorships link to one record.
  • Transparency: MCA and regulators can trace a director's association with companies.
  • Required in filings: Your DIN is quoted in director appointment and resignation forms, annual returns and financial statements.

Who Needs a DIN?

  • Proposed first directors of a Private Limited Company, Public Company, One Person Company (OPC), Section 8 Company or Producer Company
  • Any person being appointed as a director in an existing company
  • Designated partners of an LLP
  • Foreign nationals who will be directors in an Indian company

How to Get a DIN

There are two common routes, depending on whether the company already exists.

Step-by-step DIN application process on the MCA portal using SPICe+ or Form DIR-3
DIN application routes: with incorporation (SPICe+) or separately (DIR-3).

1. Along with company incorporation (SPICe+)

When you incorporate a new company through the SPICe+ form (with INC-32), DIN can be applied for directly in the same application, for up to three proposed directors. This is the simplest route. Our company incorporation service includes DIN application, name approval, and all post-incorporation compliance setup.

2. For an existing company or an individual (Form DIR-3)

If a person is being appointed as a director in an already registered company, or wants a DIN in advance, the application is filed on the MCA portal in Form DIR-3.

Documents usually required

  • PAN card (for Indian nationals)
  • Proof of identity, such as Aadhaar or passport
  • Proof of residence, such as a bank statement, utility bill or passport, as per MCA requirements
  • Recent passport-size photograph
  • Mobile number and email ID, verified through OTP
  • For foreign nationals: passport and address proof, usually notarised or apostilled

Step-by-step process

  1. Register or log in on the MCA portal.
  2. Fill in the DIN application with details exactly as per your ID documents.
  3. Attach the supporting documents and the required professional certification.
  4. Pay the prescribed government fee.
  5. Submit the form. After MCA verification, the DIN is allotted and communicated to you.

After allotment, inform the company, and make sure the company reports your DIN to the Registrar within the time limits given below. Need help with the process? Our CA team in Aligarh can guide you through each step.

DIN KYC (DIR-3 KYC): Latest Update

Holding a DIN also comes with a periodic compliance called DIN KYC, filed through Form DIR-3 KYC. Until recently this was due every year on 30 September.

Following an amendment to Rule 12A, effective from 31 March 2026, annual filing has been replaced by a KYC once every three consecutive financial years, due on or before 30 June following the cycle. For example, directors whose KYC was up to date until FY 2024-25 are generally reported to have their next KYC due on 30 June 2028.

DIN KYC timeline: once every three years, due 30 June, update changes within 30 days
DIN KYC is now triennial, but contact detail changes must be updated within 30 days.
  • Changes must be reported within 30 days. If your mobile number, email address or other details change, update them through DIR-3 KYC Web within 30 days, even if your three-year KYC is not due.
  • Applies to every DIN holder. The requirement is linked to holding a DIN, not just an active directorship. Former directors who still hold a DIN may also need to comply.

Your exact due date depends on your DIN allotment and past filings. Confirm it on the MCA portal or with your Chartered Accountant before relying on a self-calculated date.

What Happens If DIN KYC Is Not Filed?

MCA marks the DIN as deactivated. A director with a deactivated DIN cannot be appointed on a board and cannot sign MCA forms. The DIN can be reactivated by filing DIR-3 KYC with a late fee of Rs. 5,000.

A DIN can also be deactivated for other reasons, such as disqualification, the director's death, or a DIN obtained through incorrect information.

Disqualification under Section 164(2)

If a company fails to file its financial statements or annual returns for three continuous financial years, its directors can be disqualified from being appointed as directors for five years. Keeping ROC filings on time protects you personally. Our audit and compliance services ensure timely statutory filings and help you avoid disqualification risks.

DIN Application Checklist

  • Name and date of birth match your PAN and ID exactly
  • Mobile number and email are active and belong to you
  • Address proof is recent and clearly readable
  • You have confirmed you do not already hold a DIN
  • DSC is ready, if required for the filing

Common Mistakes to Avoid

  • Name or date of birth mismatch: One of the most common reasons for delays and rejections.
  • Applying for a second DIN: If you have forgotten your DIN, retrieve it instead of applying again.
  • Ignoring KYC updates: A changed mobile number or email that is not updated can cause missed OTPs and compliance problems.
  • Not informing the company: The director must intimate the DIN, and the company must inform the Registrar.
  • Overlooking company-level defaults: Even if your own KYC is on time, your company's pending filings can create disqualification risk. Our compliance tracking services help prevent such oversights.
